Home of progress B.V., a Dutch company offering a B2B SaaS application that collects basic data of employees. These terms of service (the "Agreement") govern your use of the application. Please read this Agreement carefully before using the application.
1. Definitions
In this Agreement, the following terms have the following meanings:"Company," "we," "us," or "our" refers to Home of progress B.V., the provider of the application."Application" refers to the Dutch B2B SaaS application provided by Home of progress B.V.."User," "you," or "your" refers to the individual or entity using the application.Use of the ApplicationYou are authorized to use the application for the purposes described in this Agreement. You must comply with all applicable laws and regulations in connection with your use of the application. You may not use the application for any illegal or unauthorized purpose.
2. Account Registration
In order to use the application, as a client, you must register for access to the application. You then must add as many users as agreed upon and provide accurate and complete information when adding these users. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
3. User Responsibilities
You are responsible for all activities that occur as consequence of your access to the application. You are prohibited from using the application to:· Violate any applicable law or regulation;· Infringe any intellectual property rights of Company or any third party;· Transmit any content that is defamatory, obscene, or otherwise objectionable;· Distribute any viruses, malware, or other harmful software;· Engage in any conduct that could damage, disable, overburden, or impair the application or interfere with any other party's use of the application.
4. Intellectual Property Rights
The application and all content created using the application are the property of Company or its licensors. You may not copy, modify, distribute, or create derivative works based on the application or its content without the express written permission of Company.
5. Data Protection
Company is committed to protecting the privacy of its users. The collection and use of personal data is governed by our privacy policy, which is presented following this terms of service section. You are responsible for complying with all applicable data protection laws in connection with your use of the application.
6. Warranties and Disclaimers
The application is provided on an "as is" basis without any warranties or representations of any kind, either express or implied. Company makes no representations or warranties regarding the accuracy or completeness of the application or its content. To the maximum extent permitted by law, Company disclaims all warranties, including without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the maximum extent permitted by law, Company will not be liable for any damages, whether direct, indirect, incidental, special, consequential, or punitive, arising out of or in connection with your use of the application or its content. This includes damages for loss of profits, business interruption, or loss of data. This limitation of liability applies regardless of the cause of action, whether in contract, tort, or otherwise, and even if Company has been advised of the possibility of such damages.
8. Indemnification
You agree to indemnify and hold harmless Company and its affiliates, officers, employees, and agents from any claims, damages, or other expenses, including attorneys' fees, arising out of or in connection with your use of the application or your breach of this Agreement.
9. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Netherlands. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be resolved by the competent court in Amsterdam, the Netherlands.
10. Changes to the Agreement
Company reserves the right to modify this Agreement at any time, with or without notice to you. Your continued use of the application after any such modification constitutes your acceptance of the modified Agreement. If you do not agree to the modified Agreement, you must stop using the application.
